In brief
Please read carefully. These Terms govern your access to and use of Veris software, APIs, SDKs, and the developer dashboard. By registering or using our services, you agree to be bound by these Terms.
01Definitions
- "Veris" means VERIS LABS LIMITED (RC 9414656), a company registered in Nigeria.
- "Service" means all Veris products: Veris Capture SDK, Veris Scan SDK, Veris Compare API, the developer dashboard, and all associated APIs.
- "Customer" or "you" means the developer or organisation that creates a Veris account.
- "End User" means any person who interacts with the Veris SDK through your application.
- "License Key" means the API key issued by Veris to authenticate SDK requests.
- "Subscription" means a paid plan that grants access to one or more Veris products for a defined billing period.
02Account registration
To use the Service, you must create an account with a valid email address. You are responsible for:
- Maintaining the confidentiality of your password and license keys
- All activity that occurs under your account
- Ensuring your account information is accurate and up to date
- Promptly notifying us of any unauthorised use at [email protected]
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organisation to register an account.
03Subscriptions and billing
3.1 Plans
Veris offers Spark, Build, Launch, Scale, Pro, and Enterprise subscription plans. Features and quotas vary by plan. Current plan details are published at verisinfra.com/pricing.
3.2 Billing
- Prices are displayed in USD. Payment is collected in Nigerian Naira (NGN) via Paystack at the prevailing exchange rate at the time of payment.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled.
- Annual, biannual, and quarterly billing options are available in addition to monthly.
- Veris does not store card numbers or bank details. All payment data is handled by Paystack.
3.3 Overages
Compare API calls that exceed your monthly quota are billed as overages at the rates published on the pricing page. Overage charges are capped per month: Compare calls stop at the cap and you are never billed past it, unless you choose to use the wallet described in section 3.6. Overages are invoiced at the end of your billing cycle.
3.4 Grace period
If a payment fails, your subscription enters a 48-hour grace period during which the Service continues to function normally. If payment is not completed within the grace period, the subscription becomes inactive and the SDK will return SUBSCRIPTION_INACTIVE to your end users.
3.5 Cancellation and refunds
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period.
14-day money-back on your first payment. If Veris is not right for you, you may request a full refund of the first payment you make for a paid plan (monthly or annual) within 14 days of that payment, by writing to [email protected] from the email address on your account. This applies once per account. It does not cover Compare overage charges or later renewals. Refunds are made to the original payment method, in the currency and amount charged at checkout, and your subscription ends when the refund is issued.
Apart from the money-back period above, Veris does not offer prorated refunds for unused portions of a billing period, except where required by applicable Nigerian law.
3.6 Compare wallet and automatic top-up
The Compare wallet is optional prepaid credit for each subscription. It is off unless you turn it on in the dashboard. Your plan's included comparisons, and any overage within the cap, are always used first. When those are used up and the wallet is on, further comparisons are paid from your wallet balance at the flat price per comparison shown in your dashboard, instead of being refused. Only comparisons that succeed are charged. Your balance stays in your wallet and carries over from month to month until you use it. You can set a spending limit for each billing cycle and turn the wallet off at any time; if the wallet is off, empty or at your limit, comparisons pause until your next billing cycle as described above.
You add credit by paying through Paystack. The price is in US dollars and is charged in naira at that day's rate, and for a payment you make yourself you see the exact naira amount before you confirm.
Automatic top-up. When you turn the wallet on, automatic top-up is on as well, and the dashboard shows you what it will do before you continue. If a card is saved on your subscription, you authorise Veris to charge that card, through Paystack, to add credit to your wallet when your balance falls below the level shown in your dashboard, in the amount shown there. Each charge is in US dollars converted to naira at that day's rate, and we email you a receipt. You can change the amount and the level, or switch automatic top-up off, at any time in the dashboard, and the change applies to later charges. If a charge fails we email you and wait several hours before trying again, and there is a limit on how many automatic charges can be made in a day. Automatic top-up only adds credit: it does not change your spending limit. If no card is saved on your subscription, for example because you pay by bank transfer, automatic top-up does not apply.
04License keys and applications
4.1 License key security
Your license key is shown in full exactly once upon generation. You are responsible for storing it securely. Veris only stores a SHA-256 hash and cannot recover a lost key. Revoke and regenerate a new key if yours is compromised.
4.2 Production package name
Each production license key may be bound to one production Android/iOS package name at a time. Changing the production package name triggers a 24-hour cooldown enforced at the API level. A staging package name slot is available for near-production testing and may be changed at any time.
4.3 Sandbox keys
Sandbox keys are available at no charge after email verification. Sandbox keys are subject to daily and lifetime usage limits. Results signed by sandbox keys cannot be used to complete real verification flows in production systems. Sandbox badges are permanently visible in the SDK UI when a sandbox key is active.
4.4 Permitted use
License keys are for use in your registered application only. You may not:
- Share, sell, or sublicense your key to third parties
- Use your key in applications you do not own or control
- Attempt to circumvent sandbox rate limits or usage caps
- Reverse-engineer any part of the Veris Service
05Acceptable use
You agree to use the Service only for lawful purposes consistent with all applicable laws in Nigeria and any other jurisdiction where your application operates. You must not use the Service to:
- Violate any person's privacy rights or applicable data protection laws
- Conduct surveillance without the knowledge and consent of the person being verified
- Discriminate against individuals on the basis of race, gender, religion, disability, or any other protected characteristic
- Build systems designed to identify, track, or profile individuals without their consent
- Generate fraudulent identity verification results
- Interfere with or degrade the Service for other customers
- Conduct load testing or stress testing without advance written consent from Veris
Important: Veris Scan is a data extraction product. It reads and returns text from documents. It does not authenticate documents, detect forgeries, or verify identity against any government database. Do not represent it as a fraud detection or document authentication product to your end users.
06Data and privacy
6.1 Veris data commitments
Veris does not store face images, biometric feature vectors, or any data that could identify your end users. SDK telemetry is anonymised. Images submitted to the Compare API are processed in-memory and deleted immediately after each request. See our Privacy Policy for full details.
6.2 Your obligations
As a customer integrating Veris into your application, you are the data controller for your end users' personal data. You are responsible for:
- Obtaining all necessary consents from end users before using Veris SDKs to capture or process their biometric data
- Publishing a privacy policy that accurately describes your use of Veris
- Complying with the Nigeria Data Protection Act 2023 (NDPA), the directives of the Nigeria Data Protection Commission and any other applicable data protection laws
- Implementing appropriate security measures for any data your application collects or transmits
07Intellectual property
Veris retains all rights, title, and interest in the Service, including all SDKs, APIs, models, algorithms, and associated documentation. These Terms do not grant you any rights to Veris intellectual property except the limited licence to use the Service as described herein.
You retain all rights to your application code. Integrating Veris SDKs does not transfer ownership of your application to Veris.
08Service availability and SLAs
Veris does not currently offer a formal uptime SLA, except where agreed in a written Enterprise agreement. We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced via email to registered customers where practicable.
SDK offline behaviour is defined in the SDK documentation: if a cached validation is available and less than 1 hour old, the SDK proceeds offline. If no valid cache exists, the SDK returns VALIDATION_UNAVAILABLE and your application decides how to proceed.
09Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Veris does not warrant that the Service will be error-free, uninterrupted, or that results will be accurate in all circumstances.
Liveness detection and face comparison are probabilistic systems. No biometric system achieves 100% accuracy. You are responsible for your risk management decisions, including choosing appropriate confidence thresholds for your use case.
10Limitation of liability
To the maximum extent permitted by applicable law, Veris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
Veris's total aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid to Veris in the three months preceding the claim.
11Indemnification
You agree to indemnify and hold harmless Veris, its officers, directors, employees, and agents from any claim, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim by your end users related to your application.
12Term and termination
These Terms remain in effect while you have an active account. Either party may terminate for any reason with written notice. Veris may immediately suspend or terminate your account if you materially breach these Terms, engage in abuse of the sandbox system, or your use of the Service poses a security or legal risk to Veris or other customers.
Upon termination: your license keys are revoked, your data is retained per the retention schedule in our Privacy Policy, and Sections 7, 9, 10, and 11 survive termination.
13Modifications
Veris may update these Terms from time to time. We will notify registered customers by email at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
